Archer is proud to announce that Deborah A. Hays, William J. Caruso and Gianfranco A. Pietrafesa have been named to the 2021 NJBIZ Law Power 50 list – a recognition of New Jersey’s most influential attorneys in private practice, public service, corporate law departments and nonprofit organizations. The list recognizes legal professionals who set the agenda in New Jersey and achieve results.
The publication noted the global Covid-19 pandemic made navigating New Jersey’s normally dense web of legal and regulatory issues and requirements even more difficult. Referring to the attorneys on this year’s Law Power 50 list, NJBIZ said, “The individuals we recognize in these pages have proven themselves up to the challenge.” In providing assurance that the legal acumen demonstrated by the attorneys recognized will be available to manage the new normal, the publication stated, “They are the best problem solvers the state has to offer.”
Deborah Hays earned the number 3 spot on this year’s list. This year’s list marks the third time Deborah has been recognized by the publication, having been named to the Law Power 50 list in 2019 and 2020. Deborah serves as Chair of Archer’s Board of Directors, as well as chairs the firm’s Business Counseling Group. With over 30 years of experience in corporate finance law, Deborah is sought-after for her strategic planning abilities. Her clients admire her knowledge, experience and ability to cut straight to the essence of a particular challenge and look for solutions, and she has greatly affected commerce in South Jersey and surrounding areas.
Gianfranco Pietrafesa has been named to the list for the second year in a row. Employers look to Gianfranco for advice on choice of entity and formation of corporations, LLCs and partnerships, including the preparation and negotiation of governing documents and agreements such as shareholder, buy-sell, partnership, and LLC operating agreements. He has significant experience with, and is considered an authority on, LLC laws. He handles equity and debt financing, including private placements of securities, and investments by family, friends, angel investors, and private equity firms. Gianfranco also handles mergers and acquisitions, including asset purchases and stock purchases, joint ventures and other strategic alliances, and other corporate reorganizations, and has a working knowledge of the tax consequences associated with such transactions. A teacher at heart, he’s frequently lecturing on LLCs, contracts, and legal ethics, and often published on such topics in New Jersey Law Journal, NJBIZ, and New Jersey Lawyer Magazine, the latter of which he served on the editorial board for 15 years. He was a contributing author, on the subject of drafting complaints, to New Jersey Federal Civil Procedure, published by New Jersey Law Journal Books, and was a contributing author on the subject of trial evidence for the annual supplements to prior editions of the same text.
Bill Caruso has been recognized by NJBIZ as being to many the face of the cannabis business in New Jersey. As stated by the publication, “If you were ever in the state house during a legislative hearing on cannabis and think you maybe saw Caruso, rest assured, you did. He was there. He was always there. And when Trenton is back in full swing, he’ll probably be there again.” Bill has had a hand in shaping New Jersey’s cannabis laws, from the medical use law signed in 2010 to the decriminalization and adult use bills signed in February. As a lobbyist and attorney who heads up Archer’s Cannabis Law Group, Bill will continue to be busy talking to politicians and policy experts, and ushering clients through the nuances of the industry.
