Overview
Matthew is a corporate attorney with extensive experience advising clients across a broad spectrum of transactional, regulatory, and corporate governance matters. He advises clients on private equity and venture capital investments, M&A transactions, corporate structuring, and regulatory compliance for both domestic and international clients, among other type of matters.
He regularly drafts and negotiates key transactional documents, including stock and asset purchase agreements, SAFEs, real estate purchase agreements, and a range of commercial contracts, such as NDAs, MSAs, SaaS agreements, vendor agreements, IP licenses, and employment-related agreements. He also advises startups and growth-stage companies through their fundraising lifecycle, from early-stage structuring to Series A financings, drafting and negotiating critical deal documents, disclosure schedules, and corporate governance instruments.
Matthew provides counsel on private fund formation and structuring, preparing limited partnership agreements, subscription agreements, LLC agreements, and executive summaries. He also advises clients on compliance with the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Advisers Act, the Investment Company Act, and the Bank Secrecy Act.
