
Overview
Lisa concentrates her practice on corporate and transactional matters, advising businesses, entrepreneurs, investors, and nonprofit organizations on mergers and acquisitions, corporate governance, private offerings, and day-to-day operational needs. She has led and supported dozens of buy-side and sell-side M&A transactions totaling over $200 million in aggregate value, guiding clients through structuring, due diligence, negotiation, and closing. Recognized for practical, business-focused counsel, she handles complex, high-value transactions as well as smaller deals requiring efficient, cost-conscious solutions. Her experience spans manufacturing, technology, construction, healthcare, hospitality, tobacco, and the nonprofit sector.
In addition, she counsels nonprofit organizations on corporate formation, qualification for tax-exempt status, corporate governance, fiduciary duties, and compliance. She also advises nonprofit clients through mergers, joint ventures, and voluntary dissolutions, helping them navigate the legal and regulatory requirements associated with organizational growth, restructuring, and transition.
Lisa serves as outside general counsel to closely held and family-owned businesses, advising executive teams on corporate strategy, commercial agreements, employment matters, compliance, and risk management. She negotiates and prepares operating, partnership, and shareholder agreements, and related governance documents addressing ownership, management, capital contributions, preferred equity, distributions, and exit rights. She advises clients on capital raises and private offerings, including the preparation of private placement memoranda and investor rights agreements. She also counsels clients on business separations, joint ventures, phantom interest plans, and business succession planning for closely held businesses.
