Overview
Justin represents privately-held companies, publicly-traded corporations, private investment funds, and alternative entities on a wide range of corporate and business matters. His work includes general corporate counseling, mergers and acquisitions, divestitures, fund formation and management, and complex commercial transactions. He has significant experience with corporate governance, organizational and governing documents, securities, equity and debt financings, joint ventures, corporate reorganizations, strategic investments, and SaaS and technology agreements.
With a focus on guiding clients through the full lifecycle of their business operations, Justin provides practical, strategic advice from initial formation and structuring through high-stakes transactions and regulatory compliance. He has handled private deals ranging in size from under $1 million to more than $100 million, offering tailored solutions that align with each client’s goals.
Justin also works extensively with nonprofit organizations, including public charities and private foundations, advising on governance, compliance, and operational issues unique to the nonprofit sector.
In his franchising practice, Justin assists clients with franchise system development, franchise disclosure document review and preparation, agreement drafting, regulatory compliance, and state registrations. He also advises on the day-to-day management of franchise systems and relationships, and he represents both buyers and sellers in franchise outlet transactions, ensuring legal and operational alignment throughout the process.
Additionally, Justin counsels clients on intellectual property matters, particularly in the areas of trademark and copyright protection and licensing. His services include federal trademark registration, maintenance, licensing, assignments, and enforcement strategies to help businesses protect and leverage their intellectual assets.
A frequent author and speaker on corporate and commercial law topics, Justin’s work spans key areas such as franchise and dealer relationships, nonprofit organizations, federal lending programs, intellectual property, corporate governance, and evolving trends in business transactions and structures.
Prior to joining Archer, Justin was a partner in the Corporate Group at Klehr Harrison Harvey Branzburg LLP in Philadelphia.
