Overview
Andrew advises clients on a broad spectrum of corporate and transactional matters, guiding them through everything from entity formation and dissolution to corporate governance, financings, and mergers and acquisitions. His practice spans clients of all sizes, from early-stage startups to established corporations, and addresses the full lifecycle of legal needs businesses encounter. This includes negotiating and preparing a variety of critical agreements, such as bylaws, shareholder and operating agreements, master services agreements, non-disclosure agreements, and standard terms and conditions.
With significant experience representing clients on both the buy and sell sides of acquisitions, Andrew has managed complex deal processes from initial bid through post-closing integration. He has led due diligence efforts, coordinated with subject matter specialists, and advised on strategic corporate reorganizations and consolidations. His work also includes structuring and negotiating venture capital transactions, private offerings, and commercial agreements on behalf of companies, institutional investors, and private equity and venture capital funds.
Andrew is known for his responsiveness and his ability to translate legal complexity into clear, actionable advice. He takes a practical, business-minded approach to counseling clients, ensuring that every legal solution is aligned with their broader strategic goals.
Prior to joining Archer, Andrew was Counsel for a private investment management company in Philadelphia.
