One Deal. Same Agreement. Different Perspectives.
Partner Justin Csik will join a panel of attorneys representing both buyers and sellers to discuss how purchase agreements are negotiated from each side of the table. Buyers counsel is focused on identifying risk and protecting the buyer’s interests, while seller’s counsel is focused on preserving value and minimizing post-closing exposure. These differing priorities can lead to very different interpretations of the same provisions. The panel will examine how deal terms are negotiated, where perspectives diverge, and why deals sometimes stall. Through real-world examples, attendees will gain practical insight on how to keep transactions on track toward a successful closing.
