Tax Law

Archer & Greiner’s Tax Group handles the full array of issues facing taxpayers today from business issues to employee benefits and executive compensation to trust, estate and wealth transfer planning.

Business Issues
Attorneys in our group advise businesses on tax matters involved in the entire life-cycle of a business: from choosing the appropriate form of entity, at inception to structuring tax efficient business acquisitions and sales, spin-offs, mergers, liquidations, capital restructurings, corporate reorganizations, the separation of ownership interests and real estate acquisitions, dispositions and exchanges.

Employee Benefits and Executive Compensation
Our attorneys provide a broad spectrum of tax services regarding design and implementation of qualified and retirement plans, including cross-tested plans, defined benefit plans, stock bonus plans, tax shelter annuities, ESOPs and multiple employer plans. We have developed volume submitted retirement plans to assure efficient processing and approval, as well as health, welfare and cafeteria plans.

The Tax Group assists in the development and implementation of a variety of tax-sensitive deferred and incentive executive compensation arrangements, including qualified and nonqualified deferred compensation plans. They include stock option plans, stock bonus plans, SEPs, top hat plans, supplemental employee retirement plans (SERPs) Phantom Stock Plans, Rabbi Trusts, SARs and other equity-based compensation arrangements. The Tax Group has designed qualified and non-qualified Section 457 plans for our many tax-exempt clients, as well as plans exempt from Section 457.

The Tax Group also represents clients before the Internal Revenue Service, the Department of Labor and the Pension Benefit Guaranty in connection with all compliance, assessment and termination proceedings.   The Tax Group provides advice with respect to its operation of all qualified and non-qualifed plans to insure compliance and development strategies to correct operational errors.

Exempt Organizations
Servicing tax exempt entities has traditionally been a substantial part of Archer & Greiner’s tax practice. Our attorneys work closely with our clients to help them remain in compliance with all regulations governing their tax-favored status. We obtain tax rulings and federal, state and local tax exemption determinations, and provide counsel in areas such as unrelated business income matters, private foundation compliance problems, charitable giving, conversions of for-profit corporations to not-for-profits and vice versa, fiduciary responsibilities, reorganizations and reclassifications. In addition, the Tax Group often provides assistance and service to major hospitals, health care systems, educational institutions, museums, social welfare organizations, charitable foundations, charities, trade associations and social clubs.

Bond Financing
The firm is a recognized leader in the bond financing practice within the State of New Jersey. The Tax Group addresses all aspects of federal and state laws in relation to public finance transactions, including rules related to the issuance of debt, instruments, maintenance of the tax exempt nature of the interest, and modifications or exchanges of existing debt. Several members of the Tax Group are members of the National Association of Bond Lawyers.

Tax Controversies
Members of the Tax Group represent clients in all stages of audits, investigations and litigation with the Internal Revenue Service, the New Jersey Division of Taxation, the Pennsylvania Department of Revenue and local tax authorities.

Trust, Estate and Wealth Transfer Planning
Our attorneys provide advice regarding estate planning, wealth transfer planning, business succession planning, structuring of life insurance and charitable giving. We also provide expertise in estate, gift, generation-skipping, inheritance and other death tax matters, fiduciary income taxation, and the handling of audits and appeals.

An experienced group of lawyers concentrates on the prosecution of commercial, industrial and residential real estate tax appeals before the New Jersey Tax Court, the New Jersey County Board of Taxation, the Pennsylvania County Boards of Assessment Review and the Pennsylvania Court of Common Pleas. These attorneys also provide potential real estate tax liability advice prior to the purchase or development of new projects, allowing clients to better account for tax liability in their investment analysis, farmland qualification for local property tax and roll-back tax assessments for property that loses its farmland qualifications.

Other Tax Matters
The diversity of the Tax Group allows the Firm to offer its clients services once available only through very large or boutique law firms. We prepare tax returns, advise on the tax consequences of divorce and separation, obtain rulings from the Internal Revenue Service, state and local tax authorities, and pursue refund claims.
