Biography: DEBORAH A. HAYS concentrates her practice in the area of corporate law, with an emphasis on business financing (representing both lenders and borrowers), securities offerings and compliance, mergers and acquisitions, business contracting and counseling, and technology transfer and licensing. Debbie has over 20 years experience representing a wide variety of clients from small, local businesses to large corporations (both privately-held and public), as well as start-up and development stage companies.

Debbie provides her clients with general corporate representation in such areas as entity formation, contract  negotiation and preparation, corporate governance and dissolution. She has negotiated a wide variety of complex agreements including joint ventures, purchases, distribution, consulting and employment, and technology development, transfer of licensing agreements in a wide variety of industries. Debbie also has represented numerous clients (both buyers and sellers) in complex mergers and acquistion transactions. In addition, Debbie has a strong financing background, with experience in a broad array of financing transactions, including public offerings, private placements, commercial loan facilities, syndicated credit facilities, venture capital, asset securitizations, and sale/leaseback transactions. These financings have included numerous transactions with a size of $100 million or more.

Debbie's financing background and experience with many types of sophisticated business transactions makes her uniquely qualified to advise business clients, especially entrepreneurs and emerging growth and high technology companies, about the complex financing, employment, and strategic planning issues which confront them. Debbie's experience includes:

* representation of issuers in securities offerings, including initial and secondary public offerings, and numerous private placements
* representation of issuers and borrowers in debt and equity financing transactions with venture capital firms and institutional lenders
* representation of lenders and borrowers in secured lending and bank financing transactions - including asset based lending, letters of credit, banker's acceptances, syndicated facilities, and asset securitizations
* counseling companies, regarding SEC and state blue sky compliance and reporting matters
* representation of numerous clients, including software developers, Internet service providers, equipment and product manufacturers, and health care institutions, with respect to the preparation and negotiation of technology transfer, development, support, maintenance, and licensing agreements
* advising and assisting owners and developers of web sites with respect to the preparation and negotiation of web site agreements - including site development agreements, content developments agreements, hosting agreements, linking agreements, privacy policies and terms of use
* assisting numerous business owners with shareholder, employee, consultant and independent contractor agreements - including non-compete agreements and confidentiality agreements
* assisting companies (both public and private) with their employee compensation plans - including drafting and implementing plans involving stock options (both incentive and non-qualified), phantom stock rights, and stock appreciation rights, and obtaining required shareholder approval of such plans
* representing both buyers and sellers in mergers and acquisition transactions (both asset sales and stock sales) - including transactions involving public companies, financially distressed sellers, intellectual property assets, Hart-Scott-Rodino antitrust compliance, assets located outside of the United States and complex licensing issues

Debbie also lectures to community, civic and business groups on business formation, mergers and acquisitions, computer hardware and software contracting, e-commerce and other technology issues.
